Reports[edit]

President and Executive Committee Report[edit]

  • The Vice President presented the minutes of the Executive Meeting of 2 March 2020 and mentioned that the meeting of 6 April 2020 was cancelled because it didn't reach the necessary quorum.
  • The Vice President mentioned that the Executive Committee approved two expenses since the last Board meeting: the bill for January from Jean-Philippe Béland for a total of $6,668.55 and the bill for February from Jean-Philippe Béland for a total of $9,473.74.

Secretary Report on members[edit]

  • 58 members as of today. Only one new member since the beginning of 2020.

Treasurer Report[edit]

  • The payment to Netfirms of $12.99 was automatically paid through PayPal on 9 May 2020.
  • Benoit Rochon reported the total amounts in the bank and PayPal accounts.

Programs Committee Report[edit]

  • The minutes of the Programs Committee meetings of 24 February 2020 and 30 March 2020 were presented to the Board. On the meeting of 30 March 2020, only the WikiConference North America 2020 was discussed.

Report on contractuals[edit]

  • Jean-Philippe Béland: The detailed bills from Jean-Philippe Béland were presented to the Board.
  • Pierre Choffet (ECCC Project): The bill from Pierre Choffet for the ECCC Project covering from December 2019 to March 2020 was presented to the Board. The project is progessing as planned.
  • Pierre Choffet (IT Support): Nothing in 2020 yet.

Expenditure Approvals[edit]

  • The Board unanimously resolved to accept and pay the bill for April from Jean-Philippe Béland for a total of $1,931.58.
  • The Board unanimously resolved to accept and pay the bill from Pierre Choffet for the ECCC Project covering December 2019 to March 2020 for a total of $19,350.00.

Old Business[edit]

  • Review of the Communications Policy. The new policy will be presented to the Board at the next meeting. Benoit Rochon and Jean-Michel Lapointe will work on it from the draft prepared by Jean-Philippe Béland.
  • Signing of the Roles and responsibilities of the directors of Wikimedia Canada. Reminder to the Board members who didn't sign it yet.
  • WikiConference North America 2020. The conference is cancelled for 2020. We will be able to ask a new grant to the Wikimedia Foundation for 2021. An organizing committee for 2021 will be created.
  • Contract with Atypic. The contract was signed. Atypic offered us a thematic "Wikimedia and coronavirus", but we declined it because it is not re-usable on the long term. We need to determine
  • ECCC Project. The project is progressing well. The final report for fiscal year 2019-2020 was submitted to ECCC. We spent $26,717 for the fiscal year 2019-2020 of the $40,000 that was approved. We have $30,000 for fiscal year 2020-2021.

New Business[edit]

  • Resignation of Amber Berson. The Board accepted the resignation of Amber Berson as a Board member.
  • Secretary position. The Secretary position is now vacant.
  • Situation in regards to COVID-19, priorities for the next months, and risk management. The Board will ask the Programs Committee to submit ideas on activities that we can do despite the situation in regards to COVID-19, and will send a call for projects from the community. All grant requests to the Wikimedia Foundation that included in-person meetings or travelling were rejected for this round.
  • Modification of the purpose of Wikimedia Canada. Canadian Revenue Agency suggested to Wikimedia Canada to change its "purpose" in order to obtain the charity status. As such, the Board unanimously resolved to modify the "purpose" of Wikimedia Canada as follows: "To collect, develop and disseminate knowledge and other open source educational, cultural and historic content and information resources in all languages of Canada, including Aboriginal languages, either electronic or printed, under a free licence or in the public domain, through the collaborative effort of users, for benefit of the public.", and to pay the related cost of $200. The Board mentioned its reservation in the use of the term "Aboriginal", but decided to keep it in the official purpose as it was the suggestion of the Canadian Revenue Agency while deciding to use "Indigenous" in Wikimedia Canada's communications.
  • Welcome of new members and messages to donors. Jean-Philippe Béland will propose welcome message to send to new members and thank you messages to send to donors.
  • CiviCRM. The system was installed by Pierre Choffet, and Jean-Philippe Béland maintains all members up-to-date on it. Pierre Choffet is still available for technical updates.
  • Wikipedia Pages Wanting Photos. This is a project running in July and August 2020 looking for volunteers to organize local versions. This will be discussed at the next meeting of the Programs Committee.
